Terms and conditions
Last update: October 8, 2024
Welcome to Worona Web. These terms and conditions define the rules and regulations for the use of the Worona Web website and services.
1. General provisions
These Terms and Conditions govern your use of the woronaweb.com website and any services provided by the Worona Web web development studio. By accessing or using the website, submitting a request or ordering services, you confirm that you have read, understood and agreed to be bound by these terms in full.
If you do not agree with any provision of these terms, please refrain from using the website and from ordering our services. Worona Web reserves the right to refuse service to any person at its sole discretion if the request contradicts the law or the principles of our studio.
2. Description of services
Worona Web provides a full cycle of web development services, including but not limited to: design and layout of websites, development of landing pages, corporate sites, online stores, web applications and SaaS platforms, integrations with CRM and payment systems, search engine optimization, hosting and technical support.
Prices published on the website are indicative starting prices and do not constitute a public offer. The final scope, deadlines and cost of each project are agreed individually and recorded in a commercial proposal, invoice or a separate written agreement between the parties.
3. Order and project workflow
An order is initiated by submitting a request through the contact form on the website or through any other communication channel listed in the Contacts section. After receiving the request, we contact the client within one business day to clarify the goals, requirements and technical details of the project.
Upon completion of the briefing, Worona Web prepares a commercial proposal describing the scope of work, deliverables, deadlines, price and payment schedule. Works begin after the client approves the proposal, signs the agreement (where applicable) and makes the agreed advance payment.
4. Prices and payment
Payment for services is made in Ukrainian hryvnia or another currency by agreement of the parties. Accepted methods include bank transfer, VISA and MasterCard payments, PayPal and cryptocurrency. The standard payment scheme is phased: advance payment, intermediate milestone payments and a final payment upon acceptance of the work.
The advance payment is non-refundable once the work has started. In case of termination of the project at the initiative of the client, Worona Web retains the part of the cost corresponding to the actually performed and delivered work as of the date of termination.
5. Client obligations
The client undertakes to provide accurate and complete information, technical materials, branding assets, access credentials and feedback required for the proper performance of the services, and to do so within the agreed timeframes. Delays caused by the client may proportionally shift the project deadlines without any liability for Worona Web.
The client warrants that it owns or has obtained all necessary rights to the texts, images, logos, trademarks, fonts and any other materials transferred to Worona Web for use in the project. The client bears full responsibility for any infringement of third-party intellectual property rights arising from the use of such materials.
6. Worona Web obligations
Worona Web undertakes to perform the services with due professional skill and care, in accordance with the approved technical specification, to comply with the agreed deadlines subject to timely cooperation from the client, to provide the client with regular updates on the project progress and to preserve the confidentiality of all information obtained from the client during the cooperation.
7. Intellectual property
All content published on the website (including texts, graphics, logos, trademarks, design elements, source code and the layout of the pages) is the intellectual property of Worona Web and is protected by applicable copyright and trademark laws. Any copying, reproduction, distribution or commercial use without the prior written consent of Worona Web is prohibited.
After the client has paid the full cost of the services in accordance with the agreed schedule, the exclusive property rights to the unique source code, design and graphic materials created exclusively for the client's project are transferred to the client. Third-party components used in the project (open-source libraries, licensed plugins, fonts, stock images) remain subject to the terms of their respective licenses.
8. Warranty and technical support
Worona Web provides a warranty period of 30 calendar days from the date of project launch, during which we fix, free of charge, any defects of the software we developed that prevent the normal use of the agreed functionality. The warranty covers only defects caused by the fault of our developers.
The warranty does not cover changes and improvements initiated by the client after acceptance of the work, errors caused by interference of third parties in the code or hosting environment, integrations with third-party services whose specifications have changed, or issues arising from modifications to the operating system, CMS or browser on the client side. Technical support beyond the warranty period is provided under a separate agreement.
9. Limitation of liability
To the maximum extent permitted by the applicable law, Worona Web shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, loss of revenue, data, goodwill or other intangible losses arising out of or in connection with the use of the website or the services.
The total aggregate liability of Worona Web under these terms and in connection with any specific order shall in no event exceed the amount actually paid by the client for the services under that specific order. The website and its content are provided on an "as is" and "as available" basis, without any warranties of uninterrupted access or absence of errors.
10. Confidentiality and personal data
Worona Web treats all information received from the client in the course of providing the services as confidential and processes personal data in accordance with applicable data protection laws and with our Privacy Policy, which forms an integral part of these Terms and Conditions.
11. Force majeure
Neither party shall be liable for a full or partial failure to perform its obligations if such failure is caused by force majeure circumstances, including but not limited to natural disasters, military actions, martial law, strikes, acts of state authorities, prolonged power outages, loss of internet connectivity and any other events of an extraordinary nature that are beyond the reasonable control of the parties.
12. Changes to the terms
Worona Web reserves the right to amend or update these Terms and Conditions at any time at its sole discretion. The current version is always published on this page with the date of the last update. Continued use of the website or ordering new services after the changes have been published constitutes acceptance of the updated terms.
13. Governing law and dispute resolution
These Terms and Conditions are governed by and construed in accordance with the substantive laws of Ukraine. Any disputes arising out of or in connection with these terms shall be settled by the parties through good-faith negotiations; if an amicable settlement cannot be reached, the dispute shall be referred to the competent court at the location of Worona Web.
14. Contact information
If you have any questions regarding these Terms and Conditions, the scope of the services, payment or any other legal aspect of the cooperation, please contact us through the request form on the website or through any of the communication channels listed in the Contacts section.
